Golden Shares
Special class preferred shares, known as Golden Shares, are required to be held by the Brazilian government and have the rights specifically assigned to us in our Bylaws
- Change of our corporate name.
- Change of our registered office.
- Change of our corporate purpose related to the exploration of mineral deposits.
- Any modification of the rights attributed to the types and classes of shares issued by us.
- Any modification of any of the rights granted by our Bylaws to the special class preferred share.
- Liquidation of our company.
- Any disposal or termination of activities of one or more of the following stages of the integrated systems of our iron ore exploration:
- Mineral deposits, ore deposits, mines.
- Railroads.
- Ports and maritime terminals.
- Mineral deposits, ore deposits, mines.
Dividends, Debts and Debentures
Vale's Shareholder Remuneration Policy establishes that dividends will be paid in two annual installments, according to the results of the first and second semesters, the first installment being paid in September of the current year and the second in March of the subsequent year. Our policy also determines that the minimum amount of remuneration will be 30% of the difference between the adjusted EBITDA indicator and Current Investment. In addition, the Board of Directors' Policy may resolve on extraordinary dividends and declare, in December of each year, the payment of interest on equity in March of the following year.
